WALLFLOWER CONTEST

OFFICIAL RULES

1.  SPONSOR

This contest (the "Contest") is sponsored by The Mamiye Group LLC, with an office at 1385 Broadway, 18th Floor, New York, New York 10018 ("Sponsor"). The Contest is administered by Sponsor in connection with its WallFlower brand ("WallFlower").

2.  CONTEST PERIOD

The Contest begins and ends on dates to be announced by Sponsor on its social media channels (the "Contest Period"). Sponsor reserves the right to extend or shorten the Contest Period in its sole discretion. All submissions must be received prior to the close of the Contest Period to be eligible.

3.  ELIGIBILITY

To be eligible to enter the Contest, a participant must:

 

1.       Age. Be at least eighteen (18) years of age at the time of entry. Individuals under the age of 18 are not eligible to enter.

2.       Residency. Be a legal resident of the United States.

3.       Legal Capacity. Have the full legal right, power, and authority to enter into this Contest and, if selected as the winner, to enter into a binding Talent Agreement with Sponsor.

4.       No Conflicting Obligations. Not be subject to any existing contract, collective bargaining agreement, union obligation, or other arrangement that would prohibit or restrict participation in this Contest or execution of the Talent Agreement.

5.       Ineligible Persons. Not be an employee, officer, director, contractor, or agent of The Mamiye Group LLC, or any of their respective subsidiaries or affiliates, or an immediate family member (spouse, parent, child, sibling) or household member of any such person.

 

Sponsor reserves the right to verify eligibility at any time and to disqualify any entrant who does not meet these requirements.

4.  HOW TO ENTER

During the Contest Period, eligible individuals may enter the Contest by submitting photographs via the social media platform(s) designated by Sponsor in the contest announcement post (each, a “Platform”). To enter:

 

1.       Follow. Follow Sponsor’s official WallFlower account on the applicable Platform.

2.       Submit Photos and Sizes. Submit the number and type of photographs specified in the contest announcement post in accordance with any format or content requirements stated therein, along with your shirt size and jeans size, by email to contest@wallflowerjeans.com.

3.       Caption/Hashtag. Include any required caption, hashtag, or tag as specified in the contest announcement post.

 

Limit: One (1) entry per person. Entries submitted by any other means, or in excess of the stated limit, will be void. Automated, robotic, programmatic, or other non-human entries are not permitted and will be disqualified.

 

No Purchase Necessary: No purchase, payment, or consideration of any kind is required to enter or win this Contest.

5.  PHOTO SUBMISSION REQUIREMENTS

All submitted photographs must meet the following requirements:

 

1.       Content. Photos must depict the entrant and must be suitable for a family-friendly brand audience. Photos must not contain nudity, offensive content, copyrighted material owned by a third party (other than the entrant), or any content that violates applicable law or the Platform’s terms of service.

2.       Original Work. Photos must be original works created by the entrant or taken with the entrant’s full knowledge and consent. By submitting a photo, the entrant represents and warrants that the entrant owns or controls all rights necessary to submit and grant the license described in Section 9 below.

3.       No Third-Party Rights. Photos must not depict any other identifiable individual without that person’s prior written consent. Sponsor reserves the right to request evidence of such consent.

4.       Compliance with Platform Rules. All submissions must comply with the applicable Platform’s terms of service and community guidelines.

 

Sponsor reserves the right to disqualify any entry that does not comply with these requirements, as determined by Sponsor in its sole discretion.

6.  JUDGING

This Contest is a skill-based contest. Winners are determined by judging, not by chance. All eligible entries received during the Contest Period will be evaluated by a panel of judges comprised of employees of The Mamiye Group LLC (the "Judging Panel").

 

Entries will be scored based on the following criteria and relative weighting:

 

1.       Look (approximately 40%). Overall appearance, presence, and suitability as a model, including physical presentation and photogenic quality.

2.       Brand Alignment (approximately 40%). How well the entrant’s look, style, and presentation align with the WallFlower brand aesthetic and target audience.

3.       Photography Quality (approximately 20%). The technical and aesthetic quality of the submitted photographs, including composition, lighting, and clarity.

 

The Judging Panel will evaluate all eligible entries and select one (1) winner based on the criteria above. In the event of a tie, the entry with the highest score in the “Brand Alignment” category will be selected. All decisions of the Judging Panel are final and binding in all respects.

7.  WHAT WINNING MEANS — PLEASE READ CAREFULLY

The prize in this Contest is the opportunity to become the next face of the WallFlower brand. This is not a cash prize. If selected as the winner, you will be required to sign a Talent Agreement and Release with Sponsor before any prize is awarded or any services begin. You should read that agreement carefully before signing.

 

Among other things, the Talent Agreement includes the following key provisions:

 

1.       Modeling Services. You will be required to appear at and perform modeling services at a photo shoot.

2.       Likeness Rights. You will grant The Mamiye Group LLC broad rights to use your name, likeness, photographs, and biography worldwide for commercial and promotional purposes in connection with WallFlower and other Mamiye Brothers Inc. brands.

3.       Artificial Intelligence and Digital Replica Consent. You will provide written consent — required by New York law — for The Mamiye Group LLC to create and use an AI-generated digital replica of your likeness for a range of commercial purposes, including advertising, e-commerce, social media, and international distribution. This consent is broad in scope and worldwide in territory. You will be paid a separately stated annual fee for these digital replica rights, as required by the New York Fashion Workers Act.

4.       Duration. The digital replica and likeness rights will extend for a multi-year term as specified in the Talent Agreement.

5.       Works Made for Hire. All photos and materials produced during the photo shoot will be owned by The Mamiye Group LLC

6.       Compensation. You will receive a fee for your modeling services and a separately stated annual fee for your digital replica rights, paid as a single upfront lump-sum, the amounts of which will be specified in the Talent Agreement.

 

You are strongly encouraged to seek independent legal counsel before signing the Talent Agreement. If you are selected as the winner and decline to sign the Talent Agreement within the time period specified by Sponsor, you will forfeit the prize and Sponsor may select an alternate winner.

8.  WINNER NOTIFICATION AND PRIZE FORFEITURE

The selected winner will be notified via direct message on the Platform used to submit their entry within a reasonable time after judging is complete. The winner must respond to the notification and confirm eligibility within five (5) business days of notification. If the winner does not respond within this period, cannot be contacted, is found to be ineligible, or declines to sign the Talent Agreement within the time period specified by Sponsor, the prize will be forfeited and Sponsor may, in its sole discretion, select an alternate winner from the remaining eligible entries.

9.  LICENSE TO SUBMITTED PHOTOGRAPHS

By submitting an entry, each entrant grants to Sponsor and its affiliates a non-exclusive, royalty-free, worldwide license to display, reproduce, and share the submitted photographs solely for the purposes of administering and promoting this Contest (including announcing the winner), during the Contest Period and for a reasonable period thereafter. This license does not transfer ownership of the photographs. Sponsor will not claim ownership of any submitted photographs from non-winning entrants, and such license will terminate following the conclusion of the Contest. Sponsor reserves the right to remove any submitted photograph from public display at any time in its sole discretion.

10.  PRIVACY AND DATA USE

Personal information collected from entrants in connection with this Contest will be used by Sponsor to administer the Contest, verify eligibility, contact the winner, and for related purposes. Sponsor’s handling of personal information is subject to its applicable privacy policy. By entering, entrants consent to Sponsor’s collection and use of their personal information for the purposes described herein.

11.  PLATFORM DISCLAIMER

This Contest is in no way sponsored, endorsed, administered, or associated with any social media platform on which it is promoted, including but not limited to Meta (Instagram/Facebook) or TikTok. Each entrant releases the applicable Platform(s) from any and all liability arising out of or in connection with this Contest. Any questions or complaints regarding the Contest should be directed to Sponsor, not to the Platform.

12.  GENERAL CONDITIONS

1.       Right to Disqualify. Sponsor reserves the right to disqualify any entrant who tampers with the entry process, violates these Official Rules, or acts in a disruptive or unsportsmanlike manner.

2.       Right to Cancel or Modify. Sponsor reserves the right to cancel, suspend, or modify the Contest if fraud, technical failures, or any other factor beyond Sponsor’s reasonable control impairs the integrity of the Contest, as determined by Sponsor in its sole discretion.

3.       Limitation of Liability. Sponsor is not responsible for lost, late, incomplete, misdirected, or garbled entries; technical malfunctions of any Platform; or any injury or damage arising from participation in this Contest.

4.       Taxes. Winner is solely responsible for all federal, state, and local taxes, if any, on the value of any prize received.

5.       No Assignment. Prizes are non-transferable and may not be assigned.

13.  GOVERNING LAW

These Official Rules and all aspects of this Contest shall be governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes arising out of or relating to this Contest shall be subject to the exclusive jurisdiction of the state or federal courts located in New York, New York.

14.  VOID WHERE PROHIBITED

This Contest is void where prohibited or restricted by law. All federal, state, and local laws and regulations apply.
